  • We shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction due to rejection by User’s bank / on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank / or due to any network/internet related issues or any other reason. You agree that you shall not hold us responsible/liable in any manner whatsoever for any damage resulting from non-acceptance of your payment through the payment gateway.
C. TERMS AND CONDITIONS FOR VISITOR REGISTRATION

  1. As seats are limited, confirmation of Visitors will be on a first come first serve basis only
  2. The Conference Program is subject to alterations at the discretion of the organizers.
  3. Please note that no Credit Facility would be extended under any circumstances and NO REFUND / ADJUSTMENT for "NO SHOW" or "Absence" of a Visitor would be accommodated.
  4. Kindly note that "Visitor Confirmation Letter" will be issued only after receipt and realization of appropriate fees including applicable taxes and processing fees along with the relevant details on the registration form.
  5. Visitor Badges/logins issued are "non-transferable". The organizers reserve the right to disallow a confirmed Visitor from transferring His /Her badge/login to any other Person.
  6. Registrations will be online. All Visitors, Exhibitors or any other category registrations, are requested to have their digital device ready with good internet connection (minimum speed of 5MBPS) for smooth experience.
  7. By registering for event, you agree to not to sell, trade, transfer, or share your paid/complimentary / any type of access link and/or code /login details.
  8. Participants should not record or broadcast images, audios or videos of event without written consent from organisers.
  9. You acknowledge and agree that, we reserve the right to deny/remove you from the event if we, at our discretion, determine that your participation or behaviour creates a disruption or hinders in the event or the enjoyment of the event by other attendees or you violated any policy If your participation is denied / cancelled / removed from event then we shall retain all payments made by you and no payments will be refunded.
  10. Any unlawful activity will be reported to law enforcement authorities, and participant(s) involved will be banned from this event as well as for future participation.
D. CANCELLATION AND REFUND POLICY FOR VISITOR REGISTRATION

Refunds against cancellations will be provided as per the below mentioned conditions:
  1. No request will be entertained for cancellation of registration once the Registration Letter is issued.
  2. Request for refund will only be entertained in case of cancellation/ postponement of event or duplicate payment. In such a case only registration fee will be refunded. (Processing fees and taxes applicable on the processing fees will not be refunded.) The request for the refund should be emailed to support@investkarnataka2025.co.in. Our decision regarding acceptance of the request will be final and cannot be contested.
  3. Any request for refund, after due approval by us, will be processed within 14 working days of such approval.
E. CHANGE IN POLICIES /DISPUTE RESOLUTION
We may, at any time, and at our sole discretion, modify these PRIVACY POLICY, TERMS AND CONDITIONS, CANCELLATION AND REFUND POLICY, including our other terms of use, with or without notice to you. Any such modification will be effective immediately upon public posting. Your continued use of our Service and this Site following any such modification constitutes your acceptance of these modified Terms.

In case of dispute, the decision of Meraki Communications Private Limited will be considered as final.

The above parties will be hereinafter referred to as “The Organizers”.
1. VENUE, DATE & TIMING
Invest Karnataka 2025 (hereinafter called “IK 2025”) is scheduled to be held from 11th February, 2025 to 14th February 2025 at Bangalore Palace Grounds, Bengaluru, Karnataka, India (“Venue”).
2. REGISTRATION AND CHARGES
The interested participants (“participants / Exhibitors”) shall register online on https://investkarnataka2025.co.in/ prior to space booking duly paying the registration charges. All payments will be done online through the website only and the Event Management Agency shall not be responsible for any payments made through any other portals / gateways other than the one available on the official website of IKF and/or payments made to any unauthorized third-party. The participants hereby agree and acknowledge that the Registration and the exhibition space provided at the Venue shall be on a first-come-first-serve basis and Registration fees once paid will be non-refundable. The exhibitor agrees and understands that, upon allocation of the requested space, at no instance, the allocated space will be reduced in size or part allotted to another exhibitor. Splitting of space by the exhibitor with another company is not permissible.

Registration Fee: Non-refundable registration fee will be charged as shown in the table below, towards exhibitor registration for Indian and Foreign companies both, which would be adjusted against space booking charges. If no space is booked by the exhibitor, the registration fee would be forfeited.

The participants, upon payment of registration fee, shall ipso facto become a signee to a contract binding on the participant and the Event Management Agency on behalf of Invest Karnataka Forum on the Terms and Conditions contained herein. On any failure to comply with payment terms, the Organizers, without prejudice to any of their rights and remedies under law or equity, reserve the right to cancel the contract and to deny access into the exhibition area to such exhibitors at their sole discretion and without any refund of Registration Charges or booking charges or any part thereof.

  6. One unit of raw space is 6m x 4m. Exhibitors interested in booking larger spaces can book adjacent spaces subject to availability.

Note :

  1. The Shell space can be booked subject to a minimum area of 9 sq.m. and Raw Space can be booked subject to a minimum area of 24 sq.m.
  2. Shell-space (Std) will include booth with carpet, one table, 2 chairs, 3 spotlights, 1 socket (5A) upto 1 KVA power, Fascia with name of organization, 2 complimentary passes, listing of organization with 150 word write up in e-Directory.
  3. Exhibitors booking Raw space need to get their stall designed and constructed in line with the guidelines and get the same approved as mentioned elsewhere in this document. Inclusions along with raw space are 4 complimentary passes and listing of organization with upto 150 word write-up in e-Directory
  4. Electricity Charges over and above the consumption mentioned in Para b above, will be charged extra. For Exhibitors purchasing raw space, the power requirement needs to be shared 7 days before the event
  5. In case Online Payment Gateway Service Provider or Bank imposes any taxes or charges over and above the booking amount, the same shall be borne by the exhibitor/client/person using such a service and shall make payment as per applicable charges to The Organisers
  6. Subletting: The Exhibitor must not transfer, dispose of or part with or otherwise sublet the whole or any part of his site, whether for financial consideration or otherwise. The Exhibitor must, if he is an agent, distributor or licensee, state at the time of contract or through Exhibitor Manual forms, the names of the principals to be represented. This does not prohibit an Exhibitor displaying the products of a principal for whom he becomes an agent, distributor or licensee after the time of contract, with the prior written permission of The Organisers and after paying relevant charges, if/as applicable. However, if the Exhibitor brings in a Co-exhibitor with them, the exhibitor shall have to register their Co-exhibitor after paying registration fee for Co-exhibitor in addition to their registration fee. If any exhibitor is found to have defaulted, the exhibitor shall have to pay double the rate of the charges as penalty at maximum rates of booked space.
4. Space Booking and Payment Terms
Space Booking by the same company in multiple spaces is not permitted except if the spaces are adjoining and the Exhibitor requires a larger Raw space in multiples of adjoining blocks.

Application for participation is required to be submitted online through the official website https://investkarnataka2025.co.in/ along with the Full payment as per the Terms and Conditions. Registration and booking of exhibitor space will be allotted on a first come - first serve basis. The Organisers reserve the rights to reassign space at its discretion and will be binding on the exhibitors. The payment for space booking / exhibition space shall not be refunded in any manner unless the Organizers are unable to provide space due to complete sale of space.
5. Payment Schedule
Full payment for Space booked are to be made at the time of booking. Space will be blocked only once payment is made and confirmed

All sums payable under this contract shall be paid together with the addition of such Goods and Services Tax (or such other government tax or levy) as is legally payable on those sums. Currently, the applicable Tax is 18% GST of the total Invoice value. The total cost represents only the payment for the site, details of which will be mentioned in the provisional invoice sent by The Organisers. All other goods and services required by the Exhibitor shall be paid for by the Exhibitor in addition thereto. These additional services include, and are not limited to electricity, furniture etc. Exhibitors will not be allowed to occupy their space or stands if the payment terms specified on the contract are not followed. These terms cannot be varied under any circumstances.
6. Hall Layouts and Stand numbering Plans.
Stand numbers and dimensions given on the exhibition layout plan are only for reference purpose and should not be used for any publicity purposes. The Organisers reserves the right to change the numbering plan and/or alter the layout plans at any given time, without any claims or liability arising from any participant or exhibitor in any manner whatsoever.
7. Exhibitor Directory Listing
Exhibitor details will be listed in the Exhibitor Directory published on the website by the Organizers.
8. Exhibitor Directory Listing
Without prejudice to the rights and remedies available under this contract and in the event of The Organisers agreeing in writing to any Exhibitor’s written request for release from the contract, then the Exhibitor will be liable for all or any part of the cost as stated in the contract and shall be on the following scale:-

  1. 50% Cancellation charges of total space charges plus GST on initiating request for cancellation within 7 days of space booking
  2. 100% Cancellation charges viz no refund on total space charges plus GST w.e.f 1st December 2024. These terms cannot be varied under any circumstances.

Not with standing anything contained herein, the Registration Charges will not be refunded in any event.
9. Failure to Exhibit
  1. Any exhibitor or firm which, having entered into the contract for exhibition space, fails to exhibit whether or not for any reason of the Exhibitor’s own choosing and has not been released from the contract by The Organisers shall be liable for payment of the full amount stated in the contract plus any additional costs incurred by The Organisers as a result of such failure to exhibit
  2. The Organisers will not be liable in any way in the event that Immigration Authorities or any other Govt. Security Agency prevent the attendance of any personnel at the exhibition

Notwithstanding anything contained herein, the Registration Charges will not be refunded in any event.
10. Limitation of Liability and Indemnity
  1. To the extent permissible under the Indian law, The Organisers, its officers, Directors, employees, workers or agents shall not be liable for:-

    1. The safety of Exhibitor, its staff, workers, agents, contractors or invitees during the exhibition;
    2. Any damage to or loss of exhibits, articles or other property of whatever kind brought into the exhibition by Exhibitor, its staff, workers, agents, contractors or invitees or members of public.
    3. Any other damages or loss (including, without limitation, to loss of goodwill or business profits, interruption due to work stoppage, data loss, computer failure or malfunction, and all other commercial damages or losses or exemplary, aggravated, punitive or such similar damages whether arising out of contract, tort or any other legal theory).

  2. The Organisers shall not in any event be held responsible for any restrictions or conditions which prevent construction, erection, completion, alteration or dismantling of stands or the entity, placing of or the removal of exhibits, or for the failure of any services or amenities provided by Government agencies, the Organisers or other third parties.
  3. While The Organisers may provide information on the relevant legal requirements applicable to the Exhibitor including the licenses and permits which the Exhibitor has to obtain, The Organisers shall not be responsible for any errors or omissions and the Exhibitor is solely responsible for ensuring that it has complied with all legal requirements.
  4. The Exhibitor shall be exclusively responsible for obtaining any such Visas as may be required to enable it, its personnel, agents, representatives, invitees or others to attend the exhibition and in no event shall there be any claim for loss, damage or otherwise against the organizers for the same.
  5. The Organisers shall not be responsible for the acts or omission of any contractor appointed by The Organisers to provide any products or services to the Exhibitor.
  6. In the event that The Organisers are found by a court of competent jurisdiction or any other competent authority or tribunal to be liable notwithstanding the provision of this clause, the aggregate liability of The Organisers for all claims made by the Exhibitor in respect of any loss or damage incurred or suffered shall not exceed the amount paid by the Exhibitor to The Organisers for the space at the event at or during which the loss or damage was incurred or suffered.
  7. The Exhibitor shall indemnify and hold The Organisers harmless in respect of any and all loss, damage, expense (including legal costs on a solicitor and clients basis), or liability (whether criminal or civil) and costs of settlement suffered or incurred due to any act, omission, neglect or default of the Exhibitor, its staff, workers, agents, contractors or invitees, and any claim by any third party that any exhibit, service or other material or information exhibited, provided or used by the Exhibitor infringes the Intellectual Property Rights or any other rights of any party. The indemnity provided under this clause shall survive the termination of this contract and is in addition to any other remedy which The Organisers is entitled to under the law.
11. Insurance
Exhibitors shall make sure that they are fully covered by insurance including, but not restricted to, all risks of their property, exhibits or articles of any kind, public liability and comprehensive protection against any loss or damage caused by any circumstance whatsoever whether by reason of fire, water, theft, accident or any other cause. The Exhibitors shall insure against, indemnify and hold The Organisers harmless in respect of the Exhibitor’s liability to The Organisers. If The Organisers so demands, the Exhibitor shall provide proof to The Organisers that the Exhibitor has adequate insurance cover. Exhibitors shall ensure that their temporary staff and the staff of their workers, agents or contractors are insured against claims for workman’s compensation. The period for which such insurances shall be maintained shall be from the time the Exhibitor or any of his workers, agents or contractors first enters the exhibition grounds until he has vacated the exhibition grounds and all his exhibits and property have been removed. More details of Insurance related terms and conditions including rates are mentioned in Exhibitor’s Manual. The Organisers shall in no manner be liable or responsible to procure or obtain any insurances on behalf of the Exhibitor(s).
12. Construction, Maintenance and Operation of Stands
  • Possession of Space – Possession to exhibitors taking raw stand space will be given 04:00 pm onwards on 8th February 2025. For exhibitors under the shell scheme, possession will be given 10:00 am onwards on 10th February 2025. The handing over of possession will be subject to realization of full payment, by The Organisers, for participation & space charges, electricity/water charges, etc.
  • Construction of stands - The interior design of exhibition halls will be within the architectural controls of The Organisers, and the design of the stand will be approved by The Organisers prior to 31st January 2025. Exhibitors non-compliant with these guidelines and regulations will pay a penalty of Rs 50,000/- and will run the risk of closure of the stand by The Organisers. All construction material, waste, empties, etc. to be removed by 16:00 hrs on 10th February 2025. Work on the construction of stands will be permitted within the stand area only or outside the hall and in no case in the walk-ways in the Halls. The Organisers reserves the right to order any changes to booths or have any item removed from the booth, which do not comply with the laid down specifications or with international norms/conventions
  • Additionally:
  • The booth should not obstruct the view or disturb the aesthetics of any other co-exhibitor.
  • The Organiser holds the final right to stop or alter the design if needed.
  • All drawings/designs showing stand construction have to be submitted and approved by the Event Partner, who reserves the right to recommend changes/modifications in the interest of the overall presentation of the exhibition. Exhibitors have to ensure that the changes recommended are carried out.
  • The maximum height permitted is as follows: Front Area 8ft; Middle Area 12ft; Rear Area 10ft.
  • Stall Completion – Stands are to be completed in all respects by 16:00 hrs on 10th February 2025. Full Dress Rehearsal of Invest Karnataka 2025 will be held on 10th February 2025 at 18:00 hrs onwards.
  • Operation of stalls – No stall will remain unattended. All stands must open at least one hour prior the exhibition start time and shall remain open till half an hour post exhibition time on each day.
  • Storage of Empties - No empties will be stored within or behind the exhibition stands.
  • Stall Contractor for fabricator - Contractors other than Official contractor/EMA will pay a one-time royalty of INR 50,000/- plus GST. For designing and construction of customized stalls, it is advised that the exhibitors may take the services of the EMA. In case construction/ decoration of stalls is carried out through a party other than the officially appointed EMA, the concerned exhibitor will be required to submit a letter of authority nominating the contracting company for such services along with the details of personnel who will be working at the site. A one-time fee of 2000 rupees per stall will be charged for issuing working passes.
  • Service Provider Police Verification. It is mandatory for all Service providers to fill the Police Verification Form and get their workers/staff entering the exhibition area police verified.
  • Compliance to terms and conditions – Contracting parties for group stands are responsible for ensuring that all personnel responsible for setting up or manning the stalls are fully aware of and agree to abide by these Terms and Conditions and by the Rules and Regulations of the exhibition.
  • Vacation of Space – Stands will have to be vacated under shell scheme and raw space latest by 6:00 AM on 15th February 2025. The site will close on 15th February 2025 post 6:00 AM.
  • Damages to the Hall – Exhibitors will be required to make good all damages or make payment for damages to the Halls or any structure or gardens/landscaping caused directly or indirectly by any exhibitor or by any agency employed by him.
13. Guidelines for Exhibitors
  • The exhibitor will receive a participation letter after payment of the full amount for their respective space booking.
  • The exhibitor may download their Payment Receipt after the booking of their space from their exhibitor’s login. The Tax Invoice will be made available to the exhibitors after the completion of the show.
  • The change of company name after registration is prohibited.
  • The Exhibitor passes are not transferable/ editable once booked i.e. Change of Date, Member name etc.
  • The Exhibitor shall comply with all applicable laws including without limitation the Bhartiya Nyaya Sanhita, 2023

14. Refunds Timeline & Process.
For any refund of Exhibitor Space Booking Charges, in case of cancellations under the circumstances mentioned herein, request needs to be made to support@investkarnataka2025.co.in. Subject to approval by the Organizers, refunds, if any, will be processed after the completion of the event
15. Force Majeure
The Organisers shall not be liable to the Exhibitor by reason of any cancellation, suspension or part-time opening of the exhibition, either as a whole or in part, for any non-performance of their obligations under this contract or for any amendments or alterations to all or any of the Rules and Regulations of the Exhibition to the extent that such occurrence is due to any circumstances not within their control. These circumstances shall include, without limitation, any change in government legislations, fires, floods, explosions, epidemics, pandemics, acts of God, wars, riots, sabotage or terrorist activities. In case of such an occurrence, The Organizers shall notify the Exhibitors in writing and provide full particulars of the cause or event and the date of first occurrence thereof, as soon as possible after the event and also keep the Exhibitors informed of any change in status. Once the Force Majeure conditions are removed, the Organizers may decide to hold the event at fresh dates or fully cancel the event and the decision will be conveyed to the Exhibitors.
16. CANCELLATION/ POSTPONEMENT OF THE EVENT:
In case the Event is postponed to any other date from the original date of 11th to 14th February 2025 for any reason, including but not limited to Force Majeure and if the revised dates are on or before 31st March 2025, no cancellation or refund will be allowed. In case of postponement of event beyond 31st March 2025 or cancellation of the event, including but not limited to Force Majeure, the exhibitor may be allowed to withdraw from the exhibition, provided such a request is made, in writing, within 7 days from the announcement of such cancellation / new dates. In such a case, full refund of the Exhibitor space booking charges will be made within 30 days of receiving such a request, subject to the Exhibitor not being in any breach of the terms and conditions herein and/or any rules and regulations of the event. Any taxes or charges or Processing fee charged by the payment gateway service provider / Bank / platform at the time of booking is to be borne by the Exhibitor and will not be refunded.
17. Unforeseen Occurrences
In the event of any occurrences or unforeseen events, the decision of The Organisers shall be final.
18. Copyright
18.1. The Exhibitor gives permission to The Organisers to publish before, during and after the exhibition any and all press releases, photographs, product information, and brochures sent to them for the promotional purposes. The Exhibitor guarantees that all graphic elements, designs and photos used by the Exhibitor during IK 2025 are either:

  1. Original material,
  2. Paid for by the Exhibitor or,
  3. Already in the public domain such that The Organisers cannot be sued for copyright violation.
18.2. Counterfeits and Copyright Infringements

Copyright infringement will be vigorously policed at the exhibition. Copies or counterfeit goods are not permitted at the exhibition. Exhibitors infringing copyright laws may have their goods confiscated by customs and be banned from IK 2025 as well as the future events organized by the Organisers.
19. Government Ruling.
The exhibitor shall have no claim against The Organisers should national or state government authorities, acting Independently or under the auspices of an international authority (e.g. the United Nations), ban, restrict or refuse participation at the exhibition by the exhibitor or the display or promotion of any of their products or services.
20. Governing Law and Disputes
19.1. Jurisdiction – These Terms and Conditions and the contract between The Organisers and the Exhibitor shall be governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts of Bengaluru, India.

19.2. Disputes – Disputes, if any, arising out of unresolved matters between exhibitor and The Organisers shall be settled by arbitration in accordance with the Arbitration and Conciliation Act 1996. The arbitration proceedings will be conducted in English and at Bengaluru, India only. The award of the Arbitrations shall be final and binding between the Parties to the Arbitration.
COMPLIANCE BY EXHIBITOR
I/We hereby apply to Invest Karnataka 2025 (hereinafter IK 2025) to exhibit at the event which has been scheduled for period 11th to 14th February 2025 at Bengaluru, India.

I/We understand and agree that by this application, I/We agree to abide fully and unreservedly with the Terms and Conditions contained in this document, a copy of which will be uploaded on the IK 2025 - https://investkarnataka2025.co.in/ and any amendments and additions to the Regulations which may be imposed by The Organisers at their discretion from time to time. These regulations are deemed to be an integral part of this contract. In the event of Exhibitor being a Partnership/Joint Venture, then I/we being the representative, will be deemed to have obtained the consent of all the individual participants to all the conditions of this contract.
